采办计划公告

为便于卖方及时了解项目采办信息，现将（装备公司BUT老设备更换项目离心泵采购）的采办计划公开如下：

采购范围与主要技术指标	内容	基本要求
应答人需提供符合技术要求的产品。预计发标时间2026年10月。产品清单、技术要求详见附件。	★营业执照	应答人具有合法有效的企业法人营业执照、税务登记证及组织机构代码证或证照合一的营业执照，投标时需提供原件扫描件（原件备查）。装备公司污油泵及凝液泵共2项应答人为事业单位的，应具有合法有效的事业单位法人证书，投标时需提供原件扫描件（原件备查）。应答人为分公司的，应具有合法有效的营业执照和上级法人单位授权书，分公司与上级法人单位只可一家参与投标，同时参与投标的，投标均无效。
	★信誉要求	1.应答人不得是最高人民法院在“信用中国”网站（www.creditchina.gov.cn）或 “*网”（http://.gov.cn）列入失信被执行人名单； 2.近3年（2023年1月1日-报价截止日前）内应答人或其法定代表人、拟委任的项目负责人不得有行贿犯罪行为，网站为“网”http://.gov.cn）； 3.应答人不得被工商行政管理机关在全国企业信用信息公示系统（http://www.**.gov.cn）中列入严重违法失信企业名单。事业单位、大学除外。 4.应答人与本采购项目其他应答人不得存在控股关系或管理关系、单位负责人为同一人的情形。在非公开采购项目中，严禁存在控股关系或管理关系、单位负责人为同一人、同一自然人同时持有两家公司非公开上市股份的情形。 5.应答人应在应答文件中提供其公司章程或其他能够体现出资人、股东信息的法定文件，作为评标/评审时的依据。 6.应答人承诺：中国海油在职员工（不含正式派出的）未有在应答人单位担任股东、法人代表、董事、监事和其他任职人员的情形。上述要求应答人投标时应提供卖方承诺书。
	★应答人或应答人所提供的第三方不得存在的其他情形	1.被中国海洋石油集团有限公司在集团范围内进行风险提示，且在中国海洋石油集团有限公司《***平台》中被采购冻结，进入调查程序的； 2.被中国海洋石油集团有限公司处以“取消投标资格”及以上处罚，且仍在处罚期内或处罚期满但在系统中的卖方档案中的“档案状态”为“采购冻结”、“业务状态”为“冻结”的； 3.被采购人所属单位处以“取消投标资格”及以上处罚，且仍在处罚期内或处罚期满但在系统中的卖方档案中的“业务状态”为冻结的；
	资质要求Qualification Requirements★	应答人应具有有效API离心泵设计、制造资质（持有API会标许可及认证证书）； The Bidder shall possess valid qualifications for design and manufacturing of API centrifugal pumps (holding API Monogram License and relevant certification certificates).
	贸易商、代理商要求Trader & Agent Restrictions★	本项目仅接受制造商参与。 Only manufacturers are acceptable for this project; traders and agents shall not participate.
	制造商要求Manufacturer Qualifications★	制造商须满足下列条件: The manufacturer shall satisfy all the following criteria: 1）具备有效的ISO质量管理体系认证证书ISO 9001。 1）Valid ISO 9001 Quality Management System Certificate. 2）具备有效的ISO环境管理体系认证证书ISO 14001。 2）Valid ISO 14001 Environmental Management System Certificate. 3）具备有效的健康安全职业管理体系认证证书ISO 45001。 3）Valid ISO 45001 Occupational Health & Safety Management System Certificate. 4）具备有效的工厂质量管理体系认证证书 API SPEC Q1。 4）Valid factory quality management system certification to API Spec Q1. 5）投标人应具备完成招标货物系统设计、售后服务及培训等全过程工作的能力。 5）The Bidder shall have full capability to complete the whole scope of work including system design, after-sales service and training for the tendered equipment. 6）厂房证明（需提供厂房产权证明或租赁合同及实物照片、生产/加工设备购买合同或发票及实物照片等），原件备查。 6）Factory supporting documents (factory property ownership certificate or lease contract together with physical photos thereof, purchase contracts or invoices for production & processing equipment together with physical photos thereof, etc.); original documents shall be available for inspection upon request.
	业绩要求Past Performance★	提供2020年1月1日至投标截止日（以合同签署时间为准），完成离心泵供货业绩合同2项，并提供相应业绩证明文件。业绩证明文件至少包括：合同封面、项目信息页、签字盖章页、采办内容的页面、交货验收单或发票。 Provide documentation for 2 completed centrifugal pump supply contracts between January 1, 2020 and the bid closing date (based on the contract signing date), together with the corresponding performance supporting documents. The performance supporting documents shall at minimum include: contract cover page, project information page, signed & sealed page, procurement scope page(s), delivery acceptance certificate or invoice. 若业绩合同为年度协议，除提供年度协议外，还应至少提供1项完成订单的验收材料。同一个年协合同提供1项及以上订单的均算为1个有效业绩。 If the performance contract is an annual framework agreement, in addition to the framework agreement, acceptance documents for at least one completed purchase order shall be provided. One or more orders under the same annual framework agreement shall count as one valid performance record.
	财务要求Financial & Payment Terms★	（1）合同签订后，卖方提交合同总价的30%的预付款保函、合同总价的10%的履约保函，预付款保函的有效期至交货日期后15天，履约保函的有效期应为自开立当日起，至交货日期。如卖方无法在交货日期之前完成全部合同内容，应延长履约保函期限。保函应是经买方认可的商业银行开出的不可撤销、不可转让的银行保函。买方在收到形式发票和保函后【45】日内支付合同总价的30%； (1) After contract signing, the Seller shall issue an Advance Payment Guarantee equivalent to 30% of the total contract price and a Performance Guarantee equivalent to 10% of the total contract price. The Advance Payment Guarantee shall remain valid until 15 days after the delivery date. The Performance Guarantee shall be valid from its issuance date through the delivery date. If the Seller fails to complete all contractual obligations by the delivery date, the validity term of the Performance Guarantee shall be extended accordingly. All guarantees shall be irrevocable and non-transferable bank guarantees issued by commercial banks approved by the Buyer. The Buyer shall pay 30% of the total contract price within 45 calendar days upon receipt of the proforma invoice and valid bank guarantees. （2）货物完成离岸交货(FOB)，买方收到相关装船、清关文件后，通过不可撤销的信用证支付合同总价的67%； (2) Upon completion of FOB shipment and the Buyer’s receipt of full shipping and customs clearance documents, 67% of the total contract price shall be paid via an irrevocable Letter of Credit. （3）当所有货物到达安装现场并经买方验收合格且卖方提交完工文件后，卖方开具形式发票，并开具合同总价3%的银行质保保函（质保保函应是经买方认可的商业银行开出的不可撤销、不可转让的银行保函，质保保函有效期至约定的质保期结束后30天），买方在收到形式发票和保函后【45】日内支付合同总价的3%； (3) After all goods arrive at the installation site, pass acceptance inspection by the Buyer, and the Seller submits all as-built documents, the Seller shall issue a proforma invoice and provide a Quality Bank Guarantee equivalent to 3% of the total contract price. The Quality Guarantee shall be an irrevocable, non-transferable bank guarantee issued by a Buyer-approved commercial bank, valid until 30 days after the expiry of the agreed warranty period. The Buyer shall pay the remaining 3% of the total contract price within 45 calendar days upon receipt of the proforma invoice and valid Quality Guarantee.（4）合同总价3%的银行质保保函待买方确认货物在质保期内运转正常，无质量问题，质保期结束后，由买方签署质保证明，在【45】日内，买方将合同总价3%的银行质保保函退回给卖方。 (4) The 3% Quality Bank Guarantee shall be returned to the Seller by the Buyer within 45 calendar days after the Buyer confirms trouble-free operation of goods without quality defects throughout the warranty period and signs the warranty acceptance certificate upon warranty expiration. （5）所有投标标的按美元计价。 (5) All tendered items shall be quoted in US Dollars.
	其它Other Commercial Clauses■	如卖方未能在交付日期交付货物，每延期交付一日，卖方应向买方支付延期交付货物对应合同价款的【0.5%】作为延期违约金，但是，该延期违约金最高不得超过合同总价的【10%】。如延期超过【30】日，除要求卖方支付违约金外，买方有权解除本合同，并有权要求卖方赔偿买方因此遭受的全部损失。 If the Seller fails to deliver goods by the agreed delivery date, liquidated damages for delayed delivery equal to 0.5% of the contract value of the delayed goods shall be paid to the Buyer for each calendar day of delay. The aggregate liquidated damages for delay shall not exceed 10% of the total contract price. If the delay exceeds 30 calendar days, the Buyer reserves the right to terminate this Contract in addition to claiming liquidated damages, and the Seller shall compensate the Buyer for all resulting losses. 货物的质保期为货物在伊拉克现场安装调试合格后12个月。 The warranty period for all goods shall be 12 months commencing from the date of successful installation and commissioning at the Iraq site. 质保期内，如发现货物违反本合同项下的任何保证，买方有权选择采取下列补救措施： If any breach of contractual warranties is identified during the warranty period, the Buyer may select any of the following remedies: （1）卖方对货物进行修复使货物符合使用要求，卖方承担由此产生的费用。 (1)The Seller shall repair the goods to meet operational requirements and bear all associated costs. （2）卖方对货物进行更换使货物符合本合同项下的保证和本合同的约定，卖方承担由此产生的费用。 (2)The Seller shall replace the goods to fully comply with all contractual warranties and provisions, and bear all associated costs. （3）退货，卖方承担由此产生的费用。（3）Return of goods，all resulting costs shall be borne by the Seller. 对于任何修复或更换，卖方应在收到买方发出的货物缺陷通知十（10）日内完成。若卖方收到通知后未在规定的时间内及时维修、重作、更换以弥补缺陷，买方可采取必要的补救措施，但其风险和费用将由卖方承担。如经修复、更换仍无法消除该缺陷，买方有权要求退货。卖方应补偿买方因货物存在前述缺陷遭受的全部损失。 For any repair or replacement work, the Seller shall complete all rectification within ten (10) calendar days upon receipt of the Buyer’s written defect notification. If the Seller fails to carry out timely repair, rework or replacement to rectify defects within the stipulated timeframe, the Buyer may take necessary remedial measures at the full risk and expense of the Seller. If defects persist after repair or replacement, the Buyer reserves the right to reject and return the goods. The Seller shall indemnify the Buyer for all losses incurred due to such defects.
	★交货地点	l运输到伊拉克乌木盖茨港。 lGoods shall be shipped to Umm Qasr Port, Iraq.
	★交货期质保期	★卖方应确保所有货物自合同签订之日起240个日历日内运抵并交付至伊拉克乌木盖茨港。质保期12个月（起算日为伊拉克现场安装调试合格之日）； ★ The Seller shall ensure that all goods are delivered and arrive at Umm Qasr Port, Iraq within 240 calendar days from the date of contract signing. The warranty period shall be 12 months, commencing on the date of successful completion of on-site installation and commissioning in Iraq.
	★原产地证明	BUT老设备更换项目的收入合同明确了脱气器出口泵/脱水泵的品牌范围，卖方应提供原产地证明（Certificate of origin），须加盖伊拉克大使馆印章，原产地证明应证明设备来自北美、欧洲或日本。 The revenue contract for the BUT Old Equipment Replacement Project specifies the brand scope for degasser outlet pumps and dehydration pumps. The Seller shall provide a Certificate of Origin affixed with the seal of the Iraqi Embassy, which shall certify that the equipment originates from North America, Europe or Japan.
	技术指标	应答人承诺满足全部技术要求。

本次公开的采办计划是本项目采办工作的初步安排，实际采购应以相关采购公告和采购文件为准，所有提供和反馈的信息只作为项目采办参考。

本次公告有效期是（2026年9月24日）至（2026年10月10日）止。在此期间，有意参与某采办包的系统用户可在集团公司采办系统中提交反馈材料（是否具有参与意向？技术指标、资质要求等是否有修改建议？是否满足商务要求和技术指标？）。

本项目名称为伊拉克米桑油田BUT老设备更换项目，中海油能源发展装备技术有限公司负责项目的设计、采购和施工，该项目现场位于伊拉克米桑省Buzurgan终端厂内。

This project is titled the BUT Old Equipment Replacement Project of Missan Oilfield, Iraq. CNOOC Energy Development Equipment Technology Co., Ltd. undertakes the design, procurement and construction of the project. The project site is located within the Buzurgan Terminal Plant in Missan Governorate, Iraq.

伊拉克米桑油田群共有三个油田区块，Abu Ghirab油田，Fauqi油田，Buzurgan油田，****城往北175km，巴格达东南350km。

The Missan Oilfield Complex in Iraq consists of three oil blocks, namely the Abu Ghirab Oilfield, Fauqi Oilfield and Buzurgan Oilfield. It lies 175 kilometers north of Basra City and 350 kilometers southeast of Baghdad.

中海油能源发展装备技术限公司与中海油伊拉克有限公司（业主）签订的伊拉克米桑油田BUT老设备更换项目总包服务合同。

CNOOC Energy Development Equipment Technology Co., Ltd. has signed a general contracting service contract for the BUT Old Equipment Replacement Project of Missan Oilfield, Iraq with CNOOC Iraq Limited (the Owner).

1.2 总体要求

本技术要求书及技术资料附件规定了用于本项目的离心泵的技术要求，涵盖泵设计、制造、材料、装配检验、测试和运输。

This Technical Specification and its attached technical documents specify the technical requirements for centrifugal pumps applied to this project, covering pump design, fabrication, materials, assembly inspection, testing and transportation.

卖方的工作应符合相关标准和本技术要求书及技术资料附件的要求，并确保其下级卖方的工作也符合相关标准和本技术要求书及技术资料附件的要求，卖方对所提供的离心泵负全责。

All works performed by the Seller shall comply with relevant standards, this Technical Specification and its attached technical documents. The Seller shall also ensure that works of its subcontractors adhere to the aforesaid standards and documents, and shall bear full responsibility for all centrifugal pumps supplied.

当各种技术文件之间存在不一致时，应遵循本文件第3.2条规定的标准优先序，当出现异议时，应以买方的书面澄清为准；

In case of inconsistencies among various technical documents, the order of precedence of standards stipulated in Clause 3.2 of this document shall prevail. Any disputes arising therefrom shall be subject to the written clarification issued by the Buyer.

l Pump documentation and all documents specified under the Contract.

卖方的供货范围必须确保所提供的泵能够完全满足本技术要求书、数据表及技术资料附件所规定的所有性能、功能和安装调试要求。

The Supply Scope of the Seller shall guarantee that the supplied pumps fully satisfy all performance, functional, installation and commissioning requirements stipulated in this Technical Specification, data sheets and attached technical documents.

若在工厂测试或现场安装调试过程中，发现为实现前述已约定的技术要求所必需的部件或服务在本文件清单中被遗漏，卖方有义务无偿补充提供，且不得以此为由要求延长工期或增加费用。

If any components or services indispensable to meet the aforesaid agreed technical requirements are omitted from the list herein during factory testing or on-site installation and commissioning, the Seller shall supply such omitted items free of charge, and shall not claim schedule extension or additional costs on this account.

l 备件的规格和数量由卖方分别列出，备件单独报价并包含在总价中；

l The Seller shall list the specifications and quantities of spare parts separately. Spare parts shall be quoted independently and included in the total contract price.

l 伊拉克现场设备安装、调试服务（包括现场培训），服务计划时长为60天，以实际工作考勤为准；

l On-site equipment installation and commissioning services in Iraq (including on-site training) with a planned service duration of 60 calendar days, subject to actual working attendance records.

l 设备工厂培训服务（5人7天）——卖方应为买方指派5名人员提供一次为期7个工作日（不含路途）的工厂培训，并承担全部相关费用，包括：从指定出发地至培训地的往返经济舱机票及培训期间的当地交通、食宿(住宿标准为不低于四星级的酒店单人间)。培训所需签证及邀请函的费用，以及覆盖全程的综合旅行医疗保险（保险须至少涵盖紧急医疗、医疗转运、医疗送返及遗体遣返）。为保障培训日程所需的、合理的提前抵离日（通常各1天）的食宿费用。

l Factory training service for equipment (5 personnel for 7 days): The Seller shall provide one 7-working-day factory training session (excluding travel time) for 5 personnel designated by the Buyer and bear all relevant expenses, including: round-trip economy-class air tickets from the designated departure location to the training site, local transportation, accommodation and meals during training (single rooms in hotels of no less than four-star standard). Costs for training visas and invitation letters, as well as comprehensive travel medical insurance covering the entire training period (the insurance shall at minimum cover emergency medical treatment, medical evacuation, medical repatriation and repatriation of mortal remains). Accommodation and meal expenses for reasonable advance arrival and departure days required to ensure the training schedule (normally one day each).

3.2设计图纸与标准优先序

3.2 Priority Order of Design Drawings and Standards

l 本合同项下所有材料、制造、检验和验收，均应严格遵守本项目设计图纸及本技术要求书中引用的所有标准与规范。当本技术要求书、其附件、图纸、数据表与所引用的标准规范之间要求不一致时，应按以下优先顺序执行：1) 本技术要求书正文中的明确要求（特别标注“★”的条款具有最高优先性，当‘★’条款与引用标准冲突时，以更严格者为准）；2) 数据表（Data Sheets）；3) 本技术要求书所列的其他附件与图纸；4) 本技术要求书中明确引用的标准规范（以最新有效版本为准）。

l All materials, fabrication, inspection and acceptance work under this Contract shall strictly comply with the project design drawings and all codes and standards referenced in this Technical Specification. In the event of conflicting requirements between this Technical Specification, its appendices, drawings, data sheets and the referenced codes and standards, the following order of precedence shall apply:

1) Explicit requirements specified in the main text of this Technical Specification (clauses marked with "★" shall have the highest priority; where any clause marked "★" conflicts with referenced standards, the stricter requirement shall prevail);

2) Data Sheets;

3) Other appendices and drawings attached to this Technical Specification;

4) Codes and standards explicitly cited in this Technical Specification (latest valid versions shall be adopted).

卖方应在投标阶段仔细审阅所有文件，如发现任何歧义、矛盾或技术不可行之处，必须最迟在投标截止日前 [7] 个日历日以书面形式请求澄清，否则视为已完全理解并承诺可满足所有要求。

The Seller shall carefully review all documents during the bidding phase. If any ambiguity, inconsistency or technical impracticability is identified, the Seller shall submit a written request for clarification no later than seven (7) calendar days prior to the bid closing date; otherwise, the Seller shall be deemed to have fully understood and undertaken to satisfy all specified requirements.

买方的书面澄清仅对文件要求解释，不减轻卖方的最终责任；

Written clarifications issued by the Buyer merely serve as interpretations of document requirements and shall not relieve the Seller of its ultimate liabilities.

四、技术要求

IV Technical requirements

4.1本需求完全引用以下技术标准：

4.1 This Requirement Fully Adopts the Following Technical Standard

«API610 《石油、石化和天然气工业用离心泵》第6.3.3技术要求:

a. 在承受最高工作压力（以及最高工作温度）以及最不利工况（即两倍于允许的喷嘴负载值）的情况下，旋转部件与固定部件之间不得出现泄漏或相互接触。

API 610 Centrifugal Pumps for Petroleum, Petrochemical and Natural Gas Industries, Clause 6.3.3 Technical Requirements:

a. No leakage or contact between rotating and stationary components shall occur under maximum operating pressure (and maximum operating temperature) and the most unfavorable operating condition (i.e., twice the allowable nozzle load value).

4.2主要技术指标

4.2 Main Technical Parameters

«泵体材料：泵外壳、叶轮、轴材质必须满足数据表要求;

«Pump material: Materials for pump casing, impeller and shaft shall comply with the requirements specified in the data sheets.

«机械密封：双端面集装式机械密封；

«Mechanical seal: Cartridge double mechanical seal

«冲洗方案：机械密封冲洗方式满足API682 PLAN32+53B；

«Seal flush plan: API 682 PLAN 32+53B

«联轴器：联轴器的设计、制造、检验应符合API 671及相关章节要求；

«Coupling: The design, manufacture and inspection of couplings shall conform to API 671 and relevant clauses.

«电机防护防爆：电机防护等级不得低于IP55，防爆等级不低于Ex(d) IIB T4；

«Motor protection and explosion-proof rating: The motor shall have a minimum enclosure protection grade of IP55 and a minimum explosion-proof rating of Ex(d) IIB T4.

«电机温升绝缘：电机采用B级温升、F级绝缘设计；

«Motor temperature rise and insulation: The motor shall be designed with Class B temperature rise limit and Class F insulation.

«其他仪表防护防爆：安装于危险区域的现场接线盒、温度变送器、振动变送器及其它仪表，其外壳防护等级应不低于IP65，防爆等级应不低于Ex（d）IIB T4（或满足安装区域规定的更高要求）；

«Protection and explosion-proof rating of other instruments: All field junction boxes, temperature transmitters, vibration transmitters and other instruments installed in hazardous areas shall have a minimum enclosure protection grade of IP65 and a minimum explosion-proof rating of Ex(d) IIB T4 (or higher ratings as required by the installation zone).

«电源：卖方确认离心泵在如下电源情况下，能够正常运行：

«Power supply: The Seller shall confirm that the centrifugal pump can operate normally under the following power supplies:

400V, 3PHASE，50Hz,

230V, 1PHASE，50Hz；

«冷却：现场无循环水，所有冷却均采用风冷；

«Cooling method: No circulating water available on site; air cooling shall be adopted for all cooling systems.

«电缆引入装置：所有电缆引入装置（如格兰头、填料函）应由设备卖方成套提供，其防爆型式、气体组别、温度组别及设备保护级别（EPL）不低于设备本体外壳的防爆认证等级；

«Cable entry devices: All cable entry devices (e.g. cable glands) shall be supplied as a complete set by the equipment Seller. Their explosion-proof type, gas group, temperature class and Equipment Protection Level (EPL) shall not be lower than the explosion-proof certification grade of the main equipment enclosure.

«空间加热器：额定功率≥18.5 kW的电机，必须配备防冷凝空间加热器；

«Space heaters: Motors with rated power ≥18.5 kW shall be equipped with anti-condensation space heaters.

«汽蚀余量：在额定点NPSHA应至少比NPSHR高1.0米；

«Net Positive Suction Head (NPSH): The available NPSH (NPSHA) at rated operating point shall be at least 1.0 meter higher than the required NPSH (NPSHR).

«计算书：卖方提供离心泵选型计算书（满足粘度计算要求）；

«Calculation documents: The Seller shall submit centrifugal pump selection calculation sheets (including viscosity calculation).

★涉及预埋的部件：（包括但不限于地脚螺栓、配套螺母、垫铁等）需要卖方在合同签订后2个月内发货。

★ Embedded components: (including but not limited to anchor bolts, matching nuts, shims, etc.) shall be delivered by the Seller within 2 months after contract signing.

4.3一般技术要求

4.3 General Technical Requirements

l 正常工况下，机械密封的使用寿命至少为8000小时；

l Under normal operating conditions, the service life of mechanical seals shall be no less than 8,000 operating hours.

l 正常工况下，轴承的使用寿命至少为25000小时；

l Under normal operating conditions, the service life of bearings shall be no less than 25,000 operating hours.

l 电动机的载荷系数不小于API610的要求；

l The motor service factor shall meet or exceed the requirements specified in API 610.

l 电机的冷却风扇选用抗腐蚀材质，满足沙漠高温环境使用要求；

l The motor cooling fan shall be manufactured from corrosion-resistant materials suitable for high-temperature desert environments.

l 接线箱应考虑内部接线的合理性，接线箱尺寸应满足电缆安装“3M冷缩”终端后的接线空间要求，保障电缆接线后弯曲半径满足规范要求；

l Terminal boxes shall be designed with rational internal wiring layout. The box size shall provide sufficient wiring space after installing 3M Cold Shrink cable terminations, ensuring that cable bending radii comply with relevant specifications after termination.

l 泵壳允许工作压力及水压试验压力不低于API610标准要求；

l The allowable working pressure and hydrostatic test pressure of the pump casing shall not be lower than the requirements of API 610.

l 泵本体任何点的局部膜厚测量值不得低于设计总膜厚（NDFT）的 80%；

l The local dry film thickness measured at any point on the pump casing shall not be less than 80% of the specified Nominal Dry Film Thickness (NDFT).

l 所有涂层系统设计寿命不低于 5年（大气暴露）；

l The design service life of all coating systems shall be no less than 5 years under atmospheric exposure conditions.

l 泵本体最终面漆颜色应为 RAL 1019 (灰米色)；

l The final topcoat color of the pump body shall be RAL 1019 (grey beige).

l 设备位号（如 P-312017A）标识应按规范要求，使用黑色（RAL 9011）哥特字体清晰标示于泵体醒目位置；

l Equipment tag numbers (e.g. P-312017A) shall be clearly marked on prominent positions of the pump casing in black Gothic font (RAL 9011) in accordance with specification requirements.

l 卖方应确保其服务人员具备连续出国完成相应调试工作的能力。

l The Seller shall guarantee that its field service personnel are capable of continuous overseas assignment to complete the required commissioning work.

五、检验、试验与文件交付

V Inspection, Testing and Document Submission

5.1通用要求

5.1 General Requirements

1）卖方必须对合同项下的每一台泵进行完整的出厂检验与试验，禁止采用任何形式的抽样测试;

1）The Seller shall conduct full factory inspection and testing for every single pump under the Contract. Sampling tests of any form are prohibited.

2）所有检验与试验工作均应符合 API 610 标准的最新有效版本；

2）All inspection and testing activities shall comply with the latest valid edition of API 610.

3）卖方应在生产开始前，向买方提交详细的《检验与试验计划（ITP）》供审核批准。ITP应明确所有检查点（Hold Point）、见证点（Witness Point）、试验项目、接受标准、方法和所需资源。未经买方书面批准，不得进行ITP中定义的任何检查与试验活动。

3）Prior to the commencement of production, the Seller shall submit a detailed Inspection and Test Plan (ITP) to the Buyer for review and approval. The ITP shall clearly define all Hold Points, Witness Points, test items, acceptance criteria, test methods and required resources. No inspection or testing activities specified in the ITP shall be carried out without the Buyer’s written approval.

5.2 具体试验项目与要求

5.2 Specific Test Items and Requirements

5.2.1水压试验

5.2.1 Hydrostatic Pressure Test

l 承压部件（泵壳、密封腔等）须按设计压力的1.5倍进行水压试验；

l Pressure-containing components (pump casing, seal chambers, etc.) shall undergo hydrostatic testing at 1.5 times the design pressure.

l 试验应在喷漆前进行；

l The test shall be carried out prior to painting.

l 试验介质为淡水，对不锈钢部件，氯离子含量应≤50ppm，介质温度应维持在7°C至25°C之间；

l Fresh water shall be used as the test medium. For stainless steel components, the chloride ion content shall not exceed 50 ppm, and the medium temperature shall be maintained between 7°C and 25°C.

l 试验压力应保持至少30分钟，无可见泄漏或永久变形即为合格。

l The test pressure shall be held for a minimum of 30 minutes. No visible leakage or permanent deformation shall be deemed a pass.

5.2.2性能与机械运转试验

5.2.2 Performance and Mechanical Running Test

l 试验范围应包括完整的泵机组（泵、驱动电机、密封系统、润滑系统）及附属仪表；

l The test scope shall cover the complete pump unit (pump, driving motor, seal system, lubrication system) and associated instruments.

l 泵应在车间进行至少4小时的连续机械运转试验，其中在额定工况下的稳定运行时间不得少于1小时；

l The pump shall undergo a minimum of 4 consecutive hours of mechanical running test in the workshop, including no less than 1 hour of stable operation under rated conditions.

l 性能测试应至少涵盖以下五个工况点：关死点、最小连续稳定流量点、额定流量点、110%额定流量点以及上述点之间的一个中间点；

l The performance test shall cover at least the following five operating points: shut-off point, minimum continuous stable flow point, rated flow point, 110% rated flow point, and one intermediate point between the aforesaid points.

l 试验数据应根据合同数据表规定的转速、粘度和比重进行校正。

l Test data shall be corrected based on the rotational speed, viscosity and specific gravity specified in the contract data sheets.

5.2.3 振动与噪声测试

5.2.3 Vibration and Noise Test

l 在性能试验期间，必须使用校准合格的仪器，同步、连续地采集并记录泵组在轴承座关键测点（驱动端与非驱动端）的振动数据，并生成完整的频谱与趋势分析报告，振动限值应符合API 610要求；

l During the performance test, calibrated instruments shall be used to synchronously and continuously collect and record vibration data at key measuring points on bearing housings (drive end and non-drive end) of the pump unit. A complete spectrum and trend analysis report shall be generated, and vibration limits shall comply with API 610 requirements.

l 在额定工况下，距离设备外表面 1米、高度 1.5米处测得的平均声压级不得超过 85 dB(A)。

l Under rated operating conditions, the average sound pressure level measured at a position 1 meter away from the equipment outer surface and 1.5 meters above ground shall not exceed 85 dB(A).

5.2.4 汽蚀余量测试（如适用）

5.2.4 NPSH Test (If Applicable)

l 卖方应按API 610要求进行汽蚀余量测试，以验证NPSHR值。测试报告必须明确 NPSH3值（扬程下降3%时的必需汽蚀余量）。

l The Seller shall conduct the NPSH test in accordance with API 610 to verify the NPSHR value. The test report shall clearly state the NPSH3 value (net positive suction head at 3% head drop).

5.3 工厂验收测试（FAT）与报告

5.3 Factory Acceptance Test (FAT) and Test Reports

1）上述5.2条款中的所有试验，构成正式的工厂验收测试（FAT）；

1）All tests specified in Clause 5.2 shall constitute the official Factory Acceptance Test (FAT).

2）卖方应在FAT完成且所有不符合项关闭后 7个工作日内，向买方提交详细的《FAT综合报告》。报告至少应包括：

2）Within seven (7) working days upon completion of FAT and closure of all non-conformities, the Seller shall submit a comprehensive FAT Report to the Buyer. The report shall at least contain the following contents:

l 测试概述（标准、设备信息、日期、人员）；

l Test overview (applicable standards, equipment information, test dates, participants);

l 所有试验项目的原始数据记录表、经签字的测试记录单及仪表校准证书复印件；

l Raw data sheets for all test items, signed test records and copies of instrument calibration certificates;

l 经校正的性能曲线图（扬程-流量、效率-流量、功率-流量），并与理论曲线对比；

l Corrected performance curves (head-flow, efficiency-flow, power-flow) compared with theoretical curves;

l 振动与噪声测试的完整数据分析报告；

l Complete data analysis report for vibration and noise tests;

l 能清晰反映关键测试步骤、仪表读数和设备状态的高清照片；

l High-definition photos clearly showing key test procedures, instrument readings and equipment conditions;

l 如有不符合项，须附完整的《不符合项报告》，包含问题描述、原因分析、纠正措施及关闭验证证据。

l If any non-conformities exist, a full Non-Conformity Report shall be attached, including problem description, root cause analysis, corrective actions and verification evidence for closure.

5.4 报审资料提交

5.4 Submission of Documents for Approval

卖方确认满足下表中对第一批送审资料的内容和送审时间要求；

The Seller confirms compliance with the content and submission schedule requirements for the first batch of documents for review as specified in the table below.

l 每批报批文件须包含对应批次的目录（包括版次、文件号、文件名称）；

l Each batch of documents submitted for review shall be accompanied by a corresponding document list (including revision number, document number and document title).

l 提供电子文件送审资料，电子文件为纸质文件的PDF版扫描文件，并保证纸质文件和电子文件送审内容完全一致，由于纸文件和电子文件不一致所造成的图纸审查错误及后续影响完全由卖方负责；

l Electronic documents for review shall be PDF scanned copies of hard-copy documents, and the consistency between hard copies and electronic versions shall be fully guaranteed. The Seller shall be fully liable for drawing review errors and subsequent impacts arising from discrepancies between hard copies and electronic documents.

l 提供的纸质文件必须加盖送审章，否则送审资料无效并不予接收；

l All hard-copy documents submitted shall be affixed with a document submission chop; otherwise, the submission shall be deemed invalid and rejected.

l 提供包括设备图纸在内的可编辑版CAD文件；

l Editable CAD files including equipment drawings shall be provided.

l 按COMMENTS LOG的格式回复审查意见，对于审查意见的COMMENTS LOG需要卖方逐条回复和确认，将回复的COMMENTS LOG打印签字后附在下一批纸质送审文件的首页，并将回复的COMMENTS LOG电子文件与下一批电子文件送审资料一并提供送审；

l Review comments shall be responded in the format of Comments Log. The Seller shall reply to and confirm each comment item by item. The printed and signed Comments Log with responses shall be attached to the front page of the next batch of hard-copy submission documents, and the electronic version of the responded Comments Log shall be submitted together with the next batch of electronic documents.

l 卖方确认送审文件升版后，与上一版次有修改的地方用云雾线标注，对没有标注而引起的问题由卖方负责；

l The Seller confirms that all revised areas between the new revision and the previous revision shall be marked with cloud lines after document revision. The Seller shall take full responsibility for any issues resulting from unmarked revisions.

l 卖方确认送审文件装订成册，并逐页进行编号，页码清晰、连续（如：起始编号均为001）；

l The Seller confirms that submitted documents shall be bound into volumes with clear and continuous page numbering on every page (e.g., each volume starts with page number 001).

l 卖方确认5个工作日内根据审查意见完成对送审资料的补充修改并再次提交项目组，直至满足项目组的要求（最多不超过三次送审，如在第二次送审时仍未对项目组的审核意见进行修改，项目组将组织进行技术澄清及技术文件资料审查会。如在第三次送审文件时仍未对项目组的审核意见进行修改，则由于送审文件延误项目工期及相关责任由卖方承担）；

l The Seller shall complete supplementary revisions to the submitted documents in response to review comments within five (5) working days and resubmit to the Project Team until all requirements are satisfied (a maximum of three submission rounds is allowed). If revisions addressing the Project Team’s review comments are not completed upon the second submission, the Project Team shall organize a technical clarification and document review meeting. If the third submission still fails to incorporate required revisions, the Seller shall bear all liabilities for project schedule delays and all associated consequences arising from delayed document submission.

5.5 完工资料交付

5.5 As-Built Document Delivery

卖方应在设备发货前30个日历日，交付完整的完工资料。所有文件应提供6份纸质版（A4装订）及3份可索引、可搜索的PDF电子版，语言为英文或中英文对照。完工资料必须至少包括：

The Seller shall deliver the complete set of as-built documents 30 calendar days prior to equipment shipment. Six (6) hard-copy sets (A4 bound) and three (3) indexable, searchable PDF electronic sets of all documents shall be provided, either in English or bilingual Chinese-English format. The as-built documentation shall at minimum include the following items:

l Product Certificate of Conformity

l 机械密封及辅助系统的完工资料

l As-built documents for mechanical seals and auxiliary systems

l 焊接工艺评定报告（PQR）及焊工资质证书

6.2第三方检验（TPI）要求

6.2 Third-Party Inspection (TPI) Requirements

1）卖方负责聘请买方认可的第三方检验机构（TPI）进行全程监造、检验和出具证书的全部费用；

1) The Seller shall bear all costs for retaining the Buyer-approved Third-Party Inspection body (TPI) to conduct full-process supervision, inspection and certificate issuance.

2）卖方应为TPI及买方代表的检验工作提供所有必要的便利与配合；

2) The Seller shall provide all necessary facilities and cooperation for inspection activities carried out by TPI personnel and Buyer’s representatives.

3）TPI或买方代表进行的任何检验、试验、见证、审核、批准或签发证书的行为，均不免除卖方根据合同应承担的任何责任，包括但不限于对设备设计、材料、制造工艺、性能及质量的最终责任。

3) Any inspection, test, witnessing, review, approval or certification performed by TPI or the Buyer’s representatives shall not relieve the Seller of any liabilities under this Contract, including but not limited to the ultimate responsibility for equipment design, materials, manufacturing processes, performance and quality.

6.3买方及最终用户的权利

6.3 Rights of the Buyer and End User

1）买方代表监造权：买方（中海油能源发展装备技术有限公司）有权派遣代表对设备制造的全过程进行监造、检验和见证。卖方应在合同签订后两周内提交详细的生产进度计划供买方批准；

1) Right of Supervision by Buyer’s Representatives: The Buyer (CNOOC Energy Development Equipment Technology Co., Ltd.) reserves the right to assign representatives to supervise, inspect and witness the entire equipment manufacturing process. The Seller shall submit a detailed production schedule to the Buyer for approval within two weeks after contract signing.

2）买方代表审验权：买方（中海油能源发展装备技术有限公司）有权聘请短名单内第三方检验机构（TPI）对卖方产品临时性抽检、对卖方提供的第三方检验报告(事实性见证检验报告)进行审核查验、对出厂验收进行整体检验，相关费用由买方承担；

2) Right of Inspection and Verification by Buyer’s Representatives: The Buyer (CNOOC Energy Development Equipment Technology Co., Ltd.) reserves the right to engage a TPI from the approved shortlist to conduct ad-hoc sampling inspections on the Seller’s products, review and verify the factual witness inspection reports issued by the Seller’s third-party inspector, and perform overall inspection during Factory Acceptance Test. All relevant expenses shall be borne by the Buyer.

3）最终用户检查权：最终用户（中海油伊拉克有限公司）及其授权代表保留在制造过程中随时检查设备的权利；

3) Right of Inspection by End User: The End User (CNOOC Iraq Limited) and its authorized representatives reserve the right to inspect the equipment at any time during manufacturing.

4）检验地点：所有检验和测试应在卖方的工厂进行，并由TPI及买方/最终用户代表（如参加）共同见证。

4) Inspection Location: All inspections and tests shall be carried out at the Seller’s factory and witnessed jointly by TPI and representatives of the Buyer / End User (if present).

七、标识、包装、运输和储存

VII Marking, Packaging, Transportation and Storage

7.1标识要求

7.1 Marking Requirements

1）设备铭牌：应采用不锈钢材质，牢固固定于设备显著位置。铭牌内容（包括但不限于：位号、规格型号、操作/设计压力、关键参数、出厂编号、日期、制造商名称）须全部为英文，其格式与具体内容须报买方事先书面批准；

1) Equipment Nameplate: Manufactured of stainless steel and firmly affixed to a prominent position of the equipment. All information on the nameplate (including but not limited to equipment tag number, model, operating/design pressure, key technical parameters, serial number, manufacturing date, manufacturer’s name) shall be printed in English. The format and detailed contents shall be submitted to the Buyer for prior written approval.

2）部件与包装标识：

2）Component and Packing Markings:

l 所有散装附件、材料须有标牌或清晰标记，可拆卸部件应配有永久性的配合标记；

All loose accessories and materials shall be fitted with tags or clear marks,removable components shall be provided with permanent matching alignment marks.

l 货物外包装及重型设备本体上，须清晰、牢固地标注吊点、重心及必要的运输警示标识（如“向上”、“防潮”、“小心轻放”）；

l Lifting points, center of gravity and necessary transport warning marks (e.g. "THIS SIDE UP", "KEEP DRY", "HANDLE WITH CARE") shall be clearly and durably marked on outer cargo packages and heavy equipment bodies.

l 所有包装唛头须包含收货人、合同号、品名、尺寸、毛/净重、箱号及箱内件数等信息，并附装箱清单。唛头应以英文标识，在包装箱多侧醒目张贴；

l All shipping marks shall contain consignee, contract number, commodity description, dimensions, gross/net weight, case number and quantity inside each case, together with attached packing lists. All shipping marks shall be in English and prominently pasted on multiple sides of each package.

l 包装应符合出口包装相关要求，***网罩包裹固定设备以免运输损坏。

l Packaging shall comply with export packaging standards. Equipment shall be wrapped and secured with waterproof tarpaulins and mesh covers to prevent damage during transit.

7.2包装要求

7.2 Packaging Requirements

1）通用原则：设备须经检验合格后方可包装。包装设计应遵循安全、经济原则，确保能经受远洋海运、多次搬运及户外储存不少于12个月，并能有效防潮、防震、防锈、防变形。因包装不善导致的一切损失由卖方承担；

1）General Principles: Equipment shall only be packed after passing inspection. Packaging design shall follow safety and cost-effectiveness principles to withstand ocean transportation, multiple handling operations and outdoor storage for a minimum of 12 months, with effective protection against moisture, vibration, rust and deformation. The Seller shall be fully liable for any losses arising from inadequate packaging.

2）具体防护措施：

2）Specific Protection Measures:

l 防锈保护：所有碳钢件、未加工表面及螺纹连接处须涂覆防锈层。法兰口须用 ≥3mm厚的金属/塑料盲板配以橡胶垫片密封紧固；

l Rust Prevention: All carbon steel parts, unfinished surfaces and threaded connections shall be coated with anti-rust compound. Flange openings shall be tightly sealed with metal or plastic blank flanges of minimum 3mm thickness together with rubber gaskets.

l 特殊防护：对怕潮、怕震货物，箱内应使用防水衬垫、气泡膜及足量干燥剂；

l Special Protection: For moisture-sensitive and vibration-prone goods, waterproof liners, bubble wrap and sufficient desiccants shall be placed inside the cases.

l 木质包装：如使用木质材料，须为实木并经熏蒸处理，符合出口检疫要求，并建议采用四面进叉托盘。

l Wooden Packaging: If wooden materials are adopted, solid wood subjected to fumigation complying with export quarantine regulations shall be used. Four-way entry pallets are recommended.

3）文件与方案：卖方应在发货前提交详细的包装方案与装箱清单供买方知悉。装箱清单应详细列明每箱内容物；

3）Documents and Plans: The Seller shall submit detailed packaging plans and packing lists to the Buyer for reference prior to shipment. Each packing list shall itemize all contents inside the corresponding case.

7.3 运输与交付

7.3 Transportation and Delivery

1）责任与方式：卖方负责将货物安全运送至合同指定地点，包括海运、保险及所有内陆段运输，并承担全程费用与风险；

1）Responsibilities and Mode: The Seller shall deliver the goods safely to the designated contract destination, covering ocean freight, cargo insurance and all inland transportation, and bear all costs and risks throughout the entire transit.

2）特殊运输：对于超限（超长、超高、超重）货物，卖方须提前制定符合沿途交通法规的专项运输与加固方案；

2）Oversized Cargo Transportation: For over-dimensional cargo (over-length, over-height, over-weight), the Seller shall prepare a dedicated transportation and reinforcement plan complying with traffic regulations of all transit routes in advance.

3）过程防护：整个运输过程须严格落实防雨、防潮、防震、防变形措施，确保货物安全。

3）In-Transit Protection: Strict rainproof, moisture-proof, shockproof and anti-deformation measures shall be implemented throughout transportation to guarantee cargo integrity.

7.4 储存与维护

7.4 Storage and Maintenance

1）储存环境：设备优先在室内储存，环境应保持干燥、清洁、无腐蚀性，且无积水、漏水、火灾或坍塌隐患；

1）Storage Environment: Equipment shall preferably be stored indoors in a dry, clean, non-corrosive environment free of water accumulation, leakage, fire or collapse hazards.

2）室外储存：若必须室外存放，须确保包装完整且具备可靠的防水、防尘能力，设备不得裸露；

2）Outdoor Storage: If outdoor storage is unavoidable, intact packaging with reliable waterproof and dustproof performance shall be maintained, and equipment shall not be exposed bare.

3）长期维护：如预计储存期较长，卖方应提供定期维护建议，以防设备性能劣化或锈蚀。

3）Long-Term Maintenance: If long-term storage is anticipated, the Seller shall provide regular maintenance recommendations to prevent equipment performance degradation or corrosion.

八、进度计划、监造与验收

VIII. Schedule Plan, Manufacturing Supervision and Acceptance

8.1、进度计划提交与确认

8.1 Submission and Confirmation of Schedule Plan

1）卖方应在合同生效后 14个日历日内，向买方提交一份详尽的生产制造总体计划。该计划须采用图表形式（如甘特图），清晰展示从设计、采购、制造、工厂测试、包装直至运输交付的全过程关键节点、周期及逻辑关系；

1）Within fourteen (14) calendar days after the Contract takes effect, the Seller shall submit a comprehensive overall manufacturing schedule to the Buyer. Such schedule shall be presented in graphical format (e.g., Gantt Chart), clearly identifying key milestones, durations and logical relationships covering the full process from design, procurement, manufacturing, factory testing and packaging through transportation and delivery.

2）买方在收到该计划后，有权提出审查意见。双方应就计划的具体时间安排进行书面确认，该确认后的计划将作为后续工作与监造的依据。

2）The Buyer reserves the right to raise review comments upon receipt of the schedule. Both Parties shall confirm the detailed timeline in writing, and the confirmed schedule shall serve as the basis for subsequent work and manufacturing supervision.

8.2买方监造权利与卖方配合

8.2 Buyer’s Right to Supervise Manufacturing and Seller’s Cooperation Obligations

1）买方有权派遣监造代表对合同设备的生产、检验、测试及包装等全过程进行质量监督。买方将提前以书面形式通知卖方监造代表的身份及预计驻厂时间；

1）The Buyer reserves the right to assign supervision representatives to conduct full-process quality supervision over the production, inspection, testing and packaging of Contract equipment. The Buyer shall notify the Seller in writing in advance of the identities of supervision representatives and their expected factory residence period.

2）卖方应为买方监造代表提供充分的便利与支持，包括但不限于：无阻碍地进入相关生产区域、查阅与设备相关的质量记录、见证任何阶段的检验与试验；

2）The Seller shall provide full facilities and support to the Buyer’s supervision representatives, including but not limited to unrestricted access to relevant production areas, access to all quality records related to the equipment, and witnessing inspections and tests at any stage.

3）监造代表的在场与见证，不免除卖方按合同要求提供合格产品的任何责任。

3）The presence and witnessing by supervision representatives shall not relieve the Seller of any liability to supply qualified products in compliance with Contract requirements.

8.3监造过程中的质量控制与处理

8.3 Quality Control and Disposition During Manufacturing Supervision

1）买方监造代表有权依据技术规范，对工艺过程、抽样检验和工厂试验进行监督。如发现材料、工艺或产品不符合要求，有权拒收并要求卖方整改。卖方必须立即采取纠正措施，并在双方协商一致的时间内重新安排生产或修理，以确保交货进度；

1) The Buyer’s supervision representatives are authorized to supervise fabrication processes, sampling inspections and factory tests in accordance with the technical specifications. If non-compliance of materials, workmanship or finished products is identified, the representatives have the right to reject the goods and demand rectification by the Seller. The Seller shall implement corrective actions immediately and rearrange production or repairs within a mutually agreed timeframe to guarantee delivery schedule.

2）对于监造代表提出的合理意见和建议，卖方应予以重视并采取必要措施。

2) The Seller shall attach due importance to reasonable comments and suggestions raised by supervision representatives and implement necessary corrective measures accordingly.

8.4买方不参与监造时的程序

8.4 Procedures When the Buyer Does Not Attend Manufacturing Supervision

若买方决定不派遣代表参与某次或全部工厂检验，或未按约定时间到场，卖方在收到买方书面通知或约定时间过后，应按原定计划自行完成检验，并将完整的检验记录提交买方。此情形下，卖方对产品质量的责任不变。

If the Buyer decides not to dispatch representatives to attend any or all factory inspections, or fails to arrive at the agreed time, the Seller shall complete all inspections as originally scheduled after receiving the Buyer’s written notice or upon expiration of the agreed attendance time, and submit complete inspection records to the Buyer. Under such circumstances, the Seller shall remain fully liable for product quality.

8.5.最终验收权

8.5 Right to Final Acceptance

出厂检验不替代现场验收：无论设备是否经过买方监造或出厂检验，在发货前及运抵合同指定地点后，买方均保留进行任何形式的抽查、检验或试验的权利。此权利不受任何此前已完成的工厂检验或签字的限制。

Factory inspection shall not substitute site acceptance: Regardless of whether the equipment has undergone Buyer’s manufacturing supervision or factory inspection, the Buyer reserves the right to conduct any form of random sampling, inspection or testing both prior to shipment and after delivery to the designated Contract destination. Such right shall not be restricted by any previously completed factory inspections or signed approvals.

九、技术服务与售后

IX. Technical Services and After-Sales Support

1）在设备在伊拉克现场安装调试期间，卖方携带专业调试工具提供现场人员支持服务。卖方应派遣至少1名经验丰富的调试工程师提供现场安装调试指导服务，该服务应持续至全部设备完成安装调试并通过最终验收为止，其工作期限（预估不少于60天）以满足现场实际需求为准，该人员的一切差旅、食宿、工资等费用已包含在合同总价中；

1）During equipment installation and commissioning at the Missan Oil Field site in Iraq, the Seller shall provide on-site technical support equipped with professional commissioning tools. The Seller shall assign at least one experienced commissioning engineer to deliver on-site installation and commissioning guidance until full completion of all equipment erection, commissioning and passing of final acceptance. The estimated service duration shall be no less than 60 calendar days and subject to actual site demands. All travel, accommodation, meal and salary expenses of such personnel are included in the total contract price.

2）技术联络与响应：卖方在接到买方通知24小时内给予答复；

2）Technical Communication & Response: The Seller shall provide a formal reply to the Buyer within 24 hours upon receipt of notification.

3）保密要求：卖方需要满足买方在合同中约定的保密要求；

3）Confidentiality Requirements: The Seller shall comply with all confidentiality obligations stipulated in this Contract.

4）如果卖方对请购书或参考的规范和标准有偏差，卖方应提交书面申请，只有经买方批准的偏差才有效，否则必须遵守。买方对偏差的确认不应免除卖方的责任；

4）Deviation Control: If the Seller proposes any deviation from the Purchase Requisition or referenced codes and standards, a written Deviation Request shall be submitted. Only deviations approved in writing by the Buyer shall be valid; otherwise, the Seller shall strictly adhere to all specified requirements. The Buyer’s approval of any deviation shall not release the Seller from any contractual liabilities.

5）买卖合同签订后，卖方应指定负责本工程的项目经理，以协同卖方在工程全过程的各项工作，如：工程进度、设计制造、图纸文件、包装运输、现场调试验收、服务及培训等。项目经理应得到买方的认可；

5）Project Manager Appointment: After execution of the Sales Contract, the Seller shall designate a dedicated Project Manager for this project to coordinate all work throughout the full project lifecycle, including project schedule, design & fabrication, drawings & documents, packaging & transportation, on-site commissioning & acceptance, technical services and training. Such Project Manager shall be subject to the Buyer’s prior approval.

6）设备在安装、验收和使用过程中出现问题，卖方在24小时内派专业技术人员与现场进行沟通、了解具体情况、分析原因，解决问题，必要时需前往伊拉克米桑油田的使用现场进行解决；

6）On-Site Troubleshooting: If defects occur during equipment installation, acceptance or operation, the Seller shall arrange professional technicians to communicate with site personnel, investigate conditions, analyze root causes and resolve issues within 24 hours upon notice. Site visits to the Missan Oil Field in Iraq shall be conducted if necessary.

7）在产品交付验收合格后，若业主要进行重新核实复验，卖方在接到买方通知后48小时内响应，协助业主进行检测；

7）Post-Acceptance Re-Inspection Support: After equipment delivery and acceptance, if the End User requires re-verification and re-inspection, the Seller shall respond within 48 hours upon the Buyer’s notice and assist the End User with all inspection activities.

8）培训需要时，卖方应按照买方要求安排相关知识的培训。在本合同设备安装过程中，卖方按买方要求对现场施工提供相关指导；

8）Training & Construction Guidance: The Seller shall provide training covering relevant technical knowledge as requested by the Buyer. During equipment installation, the Seller shall furnish construction guidance on-site in accordance with the Buyer’s requirements.

十、其他要求

X. Other Requirements

10.1收货信息要求

10.1 Goods Receipt Information Requirements

★卖方应确保所有货物自合同签订之日起240个日历日内运抵并交付至伊拉克乌木盖茨港。质保期12个月（起算日为伊拉克现场安装调试合格之日）；

★ The Seller shall ensure that all goods are delivered and arrive at Umm Qasr Port, Iraq within 240 calendar days from the date of contract signing. The warranty period shall be 12 months, commencing on the date of successful completion of on-site installation and commissioning in Iraq.

10.2责任和协调

10.2 Liability and Coordination

卖方认为设计文件中有无法满足产品质量的条款，应书面提出异议，经过买方同意后方可变更；

If the Seller identifies clauses in design documents that cannot be fulfilled to guarantee product quality, objections shall be raised in writing, and modifications shall only be implemented upon the Buyer’s approval.

卖方对设备因制造质量引起的问题承担责任，并负责无偿服务直至问题消除。非卖方原因造成的问题，卖方有责任提供技术支持和服务直至问题消除，费用由买方承担；

The Seller shall be liable for any defects arising from manufacturing quality and provide free-of-charge services until such defects are fully rectified. For issues caused by factors not attributable to the Seller, the Seller shall provide technical support and services to resolve the problems, with all relevant costs borne by the Buyer.

10.3★原产地证明

10.3 ★ Certificate of Origin

BUT老设备更换项目的收入合同明确了脱气器出口泵/脱水泵的品牌范围，卖方应提供原产地证明（Certificate of origin），须加盖伊拉克大使馆印章，原产地证明应证明设备来自北美、欧洲或日本。

The revenue contract for the BUT Old Equipment Replacement Project specifies the brand scope for degasser outlet pumps and dehydration pumps. The Seller shall provide a Certificate of Origin affixed with the seal of the Iraqi Embassy, which shall certify that the equipment originates from North America, Europe or Japan.
